TalentCo Terms and Conditions

1.  Terms, Acceptance and Modification
‍TalentCo Pty Ltd (77695530566) (TalentCo, We or Us) is the owner and operator of this website and the TalentCo jobs management platform accessible through it (together, the Platform). The terms and conditions contained herein (Terms) govern your access to, and use of, the Platform, its content, and any information, tools, or services provided on or through the Platform.We may from time to time and in our sole discretion modify, amend or replace these Terms (Updated Terms) by publishing any such Updated Terms on the Platform. We will use reasonable endeavours to notify registered users of material changes, but you are responsible for reviewing the Terms each time you access the Platform.By accessing or using the Platform, its content, or any information provided on or through the Platform, you irrevocably agree to all of the Terms, including all Updated Terms as are current at the time of such access or use. If you do not agree to these Terms, you are not permitted to access or use the Platform.Access to the Platform is permitted for the purposes of browsing job listings, posting job vacancies, submitting applications, and managing talent pipelines in accordance with these Terms. We reserve the right to withdraw or amend the Platform, and any features or listings available on it, without notice.
‍2.  Eligibility and Registration
‍The Platform is intended for use by:employers and recruiters seeking to advertise job vacancies or manage recruitment processes (Employers); andindividuals seeking employment opportunities or career related services (Candidates).You must be at least 18 years of age to register for and use the Platform. By registering, you warrant that you are 18 years of age or older and that you have the legal capacity to enter into a binding agreement.When you create an account on the Platform, you agree to:provide accurate, current and complete information during registration.maintain and promptly update your account information to keep it accurate, current and completekeep your account credentials confidential and not share them with any third party; andnotify us immediately at [support@talentco.io] if you suspect any unauthorised use of your account.We reserve the right to suspend or terminate your account at our sole discretion if we have reason to believe you have breached any of these Terms or if your account has been inactive for an extended period.
‍3.  Acceptable Use and Conduct
‍You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of any third party or restrict or inhibit the use and enjoyment of the Platform by any other person. You must not:post, transmit or otherwise make available any content that is unlawful, harmful, harassing, defamatory, discriminatory, obscene, fraudulent, or otherwise objectionable;post job advertisements that are misleading, deceptive, or that do not represent a genuine and lawful employment opportunity;use the Platform to collect, harvest, or compile data about other users without their consent;use automated tools, bots, scrapers, or other automated means to access or interact with the Platform without our prior written consent;engage in any conduct that could damage, disable, overburden, or impair the Platform or interfere with any other party's use of it;attempt to gain unauthorised access to any part of the Platform, other user accounts, or systems connected to the Platform; orpost content that discriminates against any person on the basis of a protected attribute under applicable anti-discrimination law, including but not limited to age, disability, gender, race, religion, or sexual orientation.Employers using the Platform to post job vacancies must comply with all applicable employment laws in your country, including the Australian Fair Work Act 2009 (Cth), anti-discrimination legislation, and applicable workplace health and safety laws.
‍4.  Employer Obligations
‍By posting a job vacancy or otherwise using the Platform as an Employer, you represent and warrant that:the vacancy is genuine and the role described accurately reflects the position available;your organisation is a lawful employer or recruitment agency authorised to engage candidates for the role advertised;any data relating to Candidates that you access through the Platform will be handled in accordance with the Privacy Act 1988 (Cth) and applicable privacy laws, and will only be used for the purposes of evaluating and engaging Candidates for the advertised role; andyou will not use Candidate information for any other purpose, or share it with any third party, without the Candidate's prior consent.
‍TalentCo does not act as an employment agent or recruiter and is not a party to any employment agreement or arrangement entered into between an Employer and a Candidate. TalentCo accepts no responsibility for any Employer's compliance with applicable employment laws or for the outcome of any recruitment process conducted through the Platform.5.  Candidate Obligations
‍By submitting applications, uploading a resume, or otherwise using the Platform as a Candidate, you represent and warrant that:all information you provide on the Platform (including your resume, profile, and application materials) is true, accurate and not misleading;you are not restricted by any agreement, order, or obligation from applying for, accepting, or performing the roles to which you apply; andyou consent to your profile and application materials being shared with Employers to whom you submit applications, and as otherwise described in our Privacy Policy.
‍TalentCo does not guarantee that you will receive any job offers or interview invitations through the Platform and accepts no responsibility for the outcome of any application or recruitment process.

6.  Third Party Websites
‍The Platform may contain links to third party websites or resources (Third Party Sites) that are not operated or controlled by TalentCo. Such links are provided for your convenience only.TalentCo has no control over Third Party Sites, provides no express or implied warranties in respect of Third Party Sites, and accepts no responsibility for them or for any loss or damage that may arise from your use of any Third Party Sites. Your access to and use of Third Party Sites is at your own risk and subject to the terms and conditions of those sites.
‍7.  Privacy Policy
‍TalentCo takes the privacy of its users seriously. Our Privacy Policy, which sets out how we collect, hold, use, disclose and otherwise handle your personal information (including the personal information of Candidates and Employers), can be found at: Privacy Policy
‍By accessing or using the Platform, you consent to the collection, use and disclosure of your personal information in accordance with our Privacy Policy. You warrant that all information and other data provided by you to TalentCo is true, accurate and complete.TalentCo handles personal information in accordance with the Australian Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). ‍8.  Intellectual Property
‍All intellectual property rights in the Platform and its content (including software, design, text, graphics, logos, icons, images, audio and video clips, databases, and data compilations) are owned by or licensed to TalentCo. Nothing in these Terms transfers any intellectual property rights to you.You are not permitted to publish, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Platform, in any form or by any means, without the prior written consent of TalentCo, except to the extent expressly permitted by these Terms.Where you submit or post content to the Platform (including job descriptions, candidate profiles, or other materials) (User Content), you grant TalentCo a non-exclusive, worldwide, royalty-free licence to use, store, display and otherwise process that User Content for the purposes of operating and improving the Platform. You represent and warrant that you own or have the necessary rights in all User Content you submit, and that your User Content does not infringe any third party's intellectual property rights.TalentCo reserves all rights in and to the Platform and its content, including all intellectual property rights not expressly granted under these Terms.
‍9.  Disclaimer of Liability
‍We shall have no liability if, for any reason, the Platform is unavailable at any time or for any period. From time to time, we may in our sole discretion restrict access to some or all parts of the Platform.The information and tools provided on or through the Platform:do not constitute legal, financial, employment, tax, or professional advice and do not take into account your particular circumstances, needs or objectives; andare provided on a general basis only and should not be used or relied upon without first obtaining independent professional advice relevant to your specific situation.Subject to any non-excludable consumer guarantees and other consumer protection provisions set out in the Australian Consumer Law (ACL) or other applicable legislation, the content and information displayed on or provided through the Platform is provided without any guarantees, conditions or warranties as to its accuracy, reliability or suitability for any particular use.To the fullest extent permitted by law, TalentCo expressly excludes all guarantees, warranties and other terms which might otherwise be implied by statute, common law or equity, and is not liable for any damages whatsoever, including but not limited to any direct, indirect, special, consequential, punitive or incidental damages, or damages for loss of use, profits, data or other intangibles, damage to goodwill or reputation, loss of employment opportunity, or the cost of procurement of substitute goods or services, arising out of or related to:the use of, or inability to use, the Platform or any Third Party Sites;any error, omission, or inaccuracy in job listings, employer information, or candidate profiles posted on the Platform;any decision made in reliance on information obtained through the Platform;any employment or recruitment outcome (or lack thereof) arising from use of the Platform; orany failure, interruption, or delay in the operation of the Platform,irrespective of whether such damages were foreseeable or arise in contract, tort, equity, restitution, by statute, at common law or otherwise.This disclaimer does not affect TalentCo's liability which cannot be excluded or limited under the ACL or any other applicable law.
‍10.  Indemnity
‍You agree to indemnify, defend and hold harmless TalentCo, its directors, officers, employees, consultants, agents, and affiliates from and against any and all third party claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with:your access to or use of the Platform or any information provided on or through it;any User Content you submit, post, or transmit through the Platform;your breach of these Terms; oryour violation of any applicable law or the rights of any third party.
‍11.  Suspension and Termination
‍We reserve the right, at our sole discretion, to suspend or terminate your access to the Platform at any time and without notice if we reasonably believe that:you have breached or are likely to breach these Terms;your continued access to the Platform poses a risk to TalentCo, other users, or third parties; orwe are required to do so by applicable law or a lawful direction from a competent authority.Termination of your account does not affect any accrued rights or obligations of either party arising prior to termination. Provisions of these Terms that by their nature should survive termination will continue in force following termination.
‍12.  Severance
‍If any part of these Terms is unenforceable at law (including any provision in which we exclude or limit our liability to you), the enforceability of any other part of the Terms will not be affected and all other provisions remain in full force and effect.So far as possible, where any clause or sub-clause or part of a clause can be severed to render the remaining part valid, the clause must be interpreted accordingly. Alternatively, you agree that the clause must be rectified and interpreted in such a way that closely resembles the original meaning of the clause as is permitted by law.

‍13.  Entire Agreement
‍These Terms, together with our Privacy Policy and any other policies or notices published on the Platform, constitute the entire agreement between you and TalentCo with respect to your use of the Platform, and supersede all prior and contemporaneous understandings, agreements, representations and warranties.
‍14.  Jurisdiction
‍These Terms are governed by and are to be construed in accordance with the laws of Victoria, Australia.The courts of Victoria, Australia shall have non-exclusive jurisdiction to determine any dispute or other matter arising under or in connection with these Terms, without prejudice to the right of either party to seek injunctive or other relief in any jurisdiction where necessary to protect its interests.
